Executive Committee

The Executive committee will be responsible to the Board of Directors and will oversee and support management to assure that the goals and plans of the Board of Directors are achieved.
The Executive Committee shall consist of the Chairman and Vice-Chairman plus five additional Directors elected by the Board of Directors at the annual fall meeting.

The Executive Committee shall hold a minimum of 8 regularly scheduled meetings throughout the year or more often at the call of the Chairman or any four committee members or by the General Manager of the Corporation, with no less than twenty-four hours notice. The Executive Committee shall be responsible to set dates for the meetings.

A quorum of the Executive Committee shall consist of at least four Executive Committee members, either in person or by teleconference.

The decisions of the Board shall be binding upon the Executive Committee. In the absence of contrary direction from the Board, the Executive Committee shall exercise the full powers of the Board; provided, however, that in the following instances the Executive Committee shall have the power only to make non-binding recommendations to the Board.

  • Amendments to the Articles and Bylaws
  • Appointment and termination of the General Manager
  • Revision of the mission or long range plan of the Corporation
  • Amendments to the Board Administrative Policies
  • Changes in the annual operational plan and/or annual budget except in an emergency declared by unanimous vote of the Executive Committee.

Executive Committee meetings shall be open to members of the Board of Directors and the public. Board members not sitting on the Executive Committee shall have no voting privileges on matters being considered by the Executive Committee and may participate in discussion only with the approval of the majority of the Executive Committee. Public observers may participate in discussion only upon invitation of the Chairman and with the approval of the majority of the Executive Committee.
